These Terms serve as general website terms and do not constitute a service agreement. All client engagements are governed by separate written contracts ("Service Agreements") that specify:

    • Detailed scope of work and deliverables
    • Project timelines, milestones, and acceptance criteria
    • Pricing, payment schedules, and invoicing terms
    • Confidentiality obligations and data handling procedures
    • Intellectual property ownership and licensing
    • Warranties, indemnification, and liability provisions
    • Termination conditions and dispute resolution

In the event of any conflict between these Terms and an executed Service Agreement, the Service Agreement shall prevail with respect to the specific engagement.

    5. Intellectual Property

    5.1 Company Property

All intellectual property rights in our proprietary tools, methodologies, frameworks, templates, training materials, and pre-existing code libraries remain the exclusive property of United States Digital Space LLC. This includes any reusable components, internal tools, or proprietary processes developed independently of client engagements.

Unless otherwise specified in writing, intellectual property in custom deliverables transfers to the client upon full payment.

    5.3 Open-Source Components

Our solutions may incorporate open-source software components. Such components remain subject to their respective open-source licenses. We will disclose the use of open-source components and their applicable licenses upon request.

    5.4 Website Content

All content on this website — including text, graphics, logos, images, and software — is the property of United States Digital Space LLC and is protected by United States and international copyright, trademark, and intellectual property laws. Unauthorized reproduction, distribution, or modification is prohibited.

    6. Confidentiality & Security

We maintain strict confidentiality and security protocols for all client information, project data, and communications. Our security practices include:

    7. AI & Machine Learning Specific Terms

The following additional terms apply to our artificial intelligence, machine learning, deep learning, and generative AI services:

    • Model Performance: AI and ML models are probabilistic in nature. We do not guarantee specific accuracy rates, prediction outcomes, or performance benchmarks unless explicitly stated in a Service Agreement with defined acceptance criteria.
    • Training Data: Clients are responsible for ensuring that any training data provided to us is lawfully obtained, properly licensed, and does not infringe upon third-party rights or privacy regulations.
    • Third-Party AI Services: Our solutions may utilize third-party AI platforms and APIs (e.g., OpenAI, Anthropic, Google, AWS). Use of such services is subject to the respective provider's terms and conditions. We will disclose third-party dependencies in the applicable Service Agreement.

    • Ethical AI: We are committed to responsible AI development. We will not knowingly develop AI systems designed to deceive, discriminate, or cause harm.

    8. Cybersecurity Service Terms

The following additional terms apply to our penetration testing, vulnerability assessment, and security audit services:

    • Authorization: All security testing is performed only with explicit written authorization from the system owner. We will not test systems, networks, or applications without proper consent.
    • Scope Limitations: Testing is limited to the scope defined in the Service Agreement. Any discovered vulnerabilities outside the defined scope will be reported but not exploited.
    • Responsible Disclosure: All findings are reported exclusively to the authorized client contact. We do not publicly disclose vulnerabilities without written client consent.
    • No Guarantee of Security: Security testing identifies vulnerabilities at a point in time. We do not guarantee that all vulnerabilities will be discovered or that systems will be immune to future threats.
    • Compliance Assessments: Our compliance reviews provide professional guidance based on our interpretation of applicable frameworks. They do not constitute legal advice and should not be treated as official certification or attestation.

    9. Payment Terms

Unless otherwise specified in an applicable Service Agreement:

We do not warrant that our website will be available without interruption, error-free, or free of viruses or other harmful components.

    • Our total aggregate liability for any claims arising under these Terms or any Service Agreement shall not exceed the total fees paid by the client to us during the twelve (12) months preceding the claim.
    • These limitations apply regardless of the theory of liability, whether in contract, tort (including negligence), strict liability, or otherwise.

    12. Indemnification

You agree to indemnify, defend, and hold harmless United States Digital Space LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

    • Your use of our website or services in violation of these Terms
    • Any data or content you provide to us that infringes third-party rights
    • Your violation of any applicable law or regulation

    13. Termination

We reserve the right to suspend or terminate access to our website or services at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Termination of specific service engagements is governed by the applicable Service Agreement. Upon termination, all completed deliverables paid for in full will be transferred to the client. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.

    14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States and the State of West Virginia, without regard to conflict of law principles.

Continued use of our website or services following any modifications constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

    16. Severability
